We started where our clients are

Bantu Bo Mbuso Accountants was opened to serve the businesses that big firms overlook — the spaza shop, the salon, the taxi owner, the young contractor with one bakkie and a dream.

Our founder spent years watching hard-working people lose money to late returns, missing slips, muddled books and letters from SARS they were too afraid to open. So we built a practice around the opposite: plain language, fixed fees and a phone that gets answered.

Today we look after traders, professionals and families in every province of South Africa — from Soweto and Midrand to Cape Town, Durban, Polokwane and the smallest towns in between. Every client gets the same thing — a full set of books kept up to date, payroll and tax filed on time, and someone who explains the numbers until they make sense.

Bantu Bo Mbuso — "people first, paperwork second."

What our clients say

Most of our work comes from people who were sent to us by someone else.

I used to dread July. Now I just drop my slips off and Bantu Bo Mbuso does the rest. My return was filed two weeks early and I got a refund I did not even know I was owed.

Thandi MokoenaHair salon owner, Soweto

They set up my company, my tax number and my payroll in one month. When SARS asked questions, they answered it for me. That alone is worth the fee.

Sipho NdlovuBuilding contractor, Midrand

I finally understand my own numbers. They sit with me, show me the spreadsheet and tell me plainly where the money is going. No jargon, no judgement.

    The client

The person or business named in the signature block at the end of this document, whose details are supplied by the client when this form is completed and signed.

This document is an engagement letter and services agreement between the practice and the client. It sets out what we do, what we charge, what you must give us, how your information is protected, and how either of us may end the arrangement. It also contains a debit order mandate authorising the practice to collect its fees from your bank account. By signing below, the client accepts all of it.

    1 Scope of services

The practice will render the accounting, tax and compliance services agreed with the client. Depending on what the client engages us for, the scope may include any of the following:

    • Bookkeeping and accounting records — capturing and processing sales, purchases, invoices, credit notes, bank statements and petty cash; reconciling bank, loan, VAT and inter-account balances; maintaining the general ledger, debtors and creditors; and producing a monthly or quarterly management report with a trial balance, income statement and balance sheet.
    • Payroll administration — preparing weekly, fortnightly or monthly payroll; issuing payslips; calculating PAYE, UIF and SDL; preparing and submitting the relevant EMP201 returns; issuing IRP5 and IT3(a) employee tax certificates; and assisting with UIF and Compensation Fund registrations and returns.
    • VAT — registering the client for VAT where required, preparing and submitting VAT201 returns, reconciling the VAT control account, and assisting with VAT audits, verifications and objections.
    • Provisional and income tax — preparing and submitting provisional tax returns (IRP6) and annual income tax returns (ITR12, ITR14 or ITR12T as applicable), calculating the tax liability, claiming allowable deductions, and dealing with SARS correspondence, verifications, audits and disputes on the client's behalf.
    • Annual financial statements — preparing annual financial statements in accordance with the applicable financial reporting framework, and the supporting working papers, for the client's own use, for lenders, or for submission to SARS, CIPC or a bank.
    • Company and entity registration — registering companies, close corporations and trusts; reserving names; registering tax numbers, VAT numbers, PAYE, UIF, SDL and COIDA; filing annual returns with CIPC; and preparing B-BBEE affidavits and the certificates needed to open a business bank account.
    • Business advisory — budgeting and cash-flow planning, pricing and costing reviews, structuring advice, funding and finance applications, and general business guidance. Advisory work is limited to the matters expressly agreed in writing.

Work outside the agreed scope — including but not limited to SARS audits and objections, CIPC reinstatements, forensic or due-diligence work, and any assignment requiring a registered auditor — will be quoted separately and only performed once the client has accepted that quotation in writing.

Unless a separate written engagement is concluded, the practice does not perform statutory audits, independent reviews, or any assurance engagement requiring registration with the Independent Regulatory Board for Auditors (IRBA).

2 Fees and how they are quoted

Fees are agreed in writing before work begins. The practice quotes on one of the following bases, and the basis applicable to the client is recorded in the debit order mandate in clause 9:

    • Fixed monthly fee — a set amount per month for recurring work such as bookkeeping, payroll and VAT, based on the volume of transactions, the number of employees and the number of bank accounts. This is the basis most clients are on.
    • Fixed fee per assignment — a once-off amount for defined work such as a company registration, a set of annual financial statements or an income tax return.
    • Hourly rate — charged for advisory work, SARS disputes, audits and any work that cannot reasonably be estimated in advance. Time is recorded and reported to the client.

Fees exclude disbursements and third-party costs, which are charged at cost. These include CIPC filing fees, SARS penalties and interest, bank charges, software subscriptions, and any fee paid to a third party on the client's behalf.

Fees exclude VAT unless expressly stated otherwise. Where the practice is registered as a VAT vendor, VAT is added at the prescribed rate.

The monthly fee is reviewed annually, and may be adjusted where the client's transaction volumes, employee numbers or number of entities change materially. The client will be given at least 30 days' written notice of any increase. Accounts unpaid after 30 days may attract interest at the prescribed rate, and the practice may suspend work on overdue accounts after giving the client written notice and a reasonable opportunity to pay.

3 Your responsibilities as the client

The accuracy and completeness of the records we work from remains the client's responsibility. To allow us to do our work properly and on time, the client undertakes to:

    • Provide complete and accurate records, including all sales invoices, supplier invoices, credit notes, till slips, deposit books, expense claims and any other source documents, in a legible and usable form.
    • Provide full bank statements for every business bank account, loan account and credit card, for every period under engagement, including statements for accounts opened or closed during the period.
    • Provide all invoices, statements, contracts and correspondence relevant to the business, including any letters, notices or assessments received from SARS, CIPC, the Department of Labour, the UIF or the Compensation Fund.
    • Give the practice access to the accounting, payroll and banking software used by the business, at the level of access reasonably required, and keep that access current.
    • Deliver records by the agreed monthly cut-off date, so that books, returns and payroll can be completed before the relevant statutory deadline.
    • Notify the practice in writing of any change in the business, its ownership, its bank accounts, its employees, its VAT status or its tax affairs that may affect the work.
    • Review and approve all returns, financial statements and reports prepared by the practice before they are submitted, and sign off on them where required.
    • Retain the original source documents, and keep the practice informed of where those documents are held.

Where records are late, incomplete or inaccurate, the practice cannot guarantee that statutory deadlines will be met, and any penalty, interest or additional fee arising from that delay remains the client's responsibility.

    4 Confidentiality and POPIA compliance

The practice treats all client information as confidential. We will not disclose it to any third party except where the client has authorised us to do so in writing, where disclosure is required by law or by a court, or where it is necessary to render the agreed services — for example, submitting a return to SARS or a filing to CIPC.

The practice processes the client's personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA). In doing so:

    • Personal information is collected only for the purposes of the engagement — accounting, tax, payroll, statutory filing and advisory work — and for related lawful purposes.
    • Information is processed lawfully, with the client's consent and as required to perform the engagement, and is kept accurate and up to date.
    • Information is stored securely, with access limited to staff and service providers who need it, and is protected by reasonable technical and organisational safeguards.
    • Information is not transferred outside South Africa unless the recipient is subject to a law, binding agreement or corporate rules providing an adequate level of protection.
    • Information is retained only as long as required by law and by the practice's retention policy, after which it is securely destroyed or de-identified.

Where the practice engages a third-party service provider — for example cloud accounting software, payroll software or a secure document portal — that provider is required to apply equivalent confidentiality and data-protection standards.

The client has the right to request access to the personal information the practice holds, to request correction or deletion of that information where the law permits, and to lodge a complaint with the Information Regulator. Requests may be sent to bantubombuso@icloud.com.

The practice's duty of confidentiality continues after this agreement ends.

    5 Retention of records

The practice retains client records, working papers and supporting documents for a minimum of five years after the end of the tax year to which they relate, and for longer where a specific law requires it — including the retention periods prescribed by the Tax Administration Act 28 of 2011 and the Companies Act 71 of 2008.

Records are stored electronically in a secure environment with restricted access. On termination of this agreement, the client may request the return of its records, and the practice will hand over the accounting data, working papers and source documents it holds within a reasonable time, subject to settlement of any outstanding fees. The practice may retain copies where retention is required by law.

    6 Termination

This agreement runs from the date of signature until it is terminated by either party.

    • Either party may terminate this agreement on 30 days' written notice, delivered by email or WhatsApp to the contact details recorded in this document.
    • Where the client terminates, fees for work already performed and for the month in which notice is given remain payable, together with any disbursements already incurred.
    • Where the practice terminates, it will complete any work in progress that can reasonably be completed within the notice period, and will hand over the client's records as set out in clause 5.
    • The practice may suspend or terminate the engagement immediately where the client fails to provide records, fails to pay fees due, asks the practice to act unlawfully or unethically, or where continuing the engagement would place the practice in breach of any professional or statutory obligation.
    • Termination of this agreement automatically cancels the debit order mandate in clause 9, and the practice will notify the client's bank accordingly.

    7 Limitation of liability

The practice will perform its work with reasonable skill, care and diligence, in accordance with the standards of the profession and the laws of South Africa. The practice does not, however, guarantee any particular outcome, refund, assessment or decision by SARS, CIPC or any other authority.

    • The practice's liability arising from this engagement is limited to the total fees paid by the client for the specific assignment in which the loss arose, or to the fees paid in the twelve months preceding the claim, whichever is the greater.
    • The practice is not liable for indirect, consequential or special loss, including loss of profit, loss of business, loss of opportunity or reputational harm.
    • The practice is not liable for loss caused by records that are late, incomplete, inaccurate or withheld by the client, or by information the client failed to disclose.
    • The practice is not liable for penalties, interest or additional tax arising from the client's own acts or omissions, or from the client's failure to act on advice given.
    • The practice is not liable for the acts or omissions of third parties, including banks, software providers, SARS, CIPC and other regulators.
    • The client indemnifies the practice against claims arising from information supplied by the client that is false, misleading or incomplete.

Nothing in this clause limits any liability that cannot lawfully be limited, including liability under the Consumer Protection Act 68 of 2008 where that Act applies.

8 Professional bodies and the laws we work under

The practice trades as Bantu Bo Mbuso Accountants and is registered with the Companies and Intellectual Property Commission under company registration number 2026/157600/07, where applicable. The practice is a registered tax practitioner. Tax practitioner registration is held under section 240A of the Tax Administration Act 28 of 2011, which requires registration with a recognised controlling body and compliance with its code of conduct. The practice works within the ethical framework of the accounting and tax profession, including the fundamental principles of integrity, objectivity, professional competence and due care, confidentiality, and professional behaviour.

The practice renders its services in accordance with the laws of the Republic of South Africa, including but not limited to:

    • Companies Act 71 of 2008 — company registration, directors' duties, annual returns and financial reporting obligations.
    • Income Tax Act 58 of 1962 — income tax, provisional tax, deductions, allowances and assessments.
    • Tax Administration Act 28 of 2011 — registration as a tax practitioner under section 240A, returns, record retention, objections, appeals and SARS powers.
    • Value-Added Tax Act 89 of 1991 — VAT registration, VAT201 returns, input and output tax, and the VAT treatment of supplies.
    • Close Corporations Act 69 of 1984 — the administration, accounting records and annual duties of close corporations.
    • Basic Conditions of Employment Act 75 of 1997 — payslips, hours of work, leave and the records an employer must keep.
    • Unemployment Insurance Act 63 of 2001 — UIF registration, contributions and declarations.
    • Compensation for Occupational Injuries and Diseases Act 130 of 1993 — COIDA registration, assessments and the letter of good standing.
    • Skills Development Levies Act 9 of 1999 — SDL calculation, payment and the related workplace skills reporting.
    • Protection of Personal Information Act 4 of 2013 — the processing and protection of personal information, as set out in clause 4.
    • Consumer Protection Act 68 of 2008 — applied where the client is a consumer within the meaning of that Act, including the right to fair and honest dealing, fair terms and conditions, and clear fee disclosure.

Where any provision of this agreement conflicts with a law that cannot be varied by agreement, that law prevails and the remaining provisions continue in force.

    9 Debit order mandate

This is an authority and mandate given by the client to Bantu Bo Mbuso Accountants (registration number 2026/157600/07) to collect the fees due for accounting services by debit order against the client's bank account. The client's bank details are recorded below and are supplied by the client when this form is completed.

    Authorisation

By signing this mandate, the client authorises Bantu Bo Mbuso Accountants to issue debit orders against the account detailed above, monthly, for the fees due in terms of this agreement, and authorises the client's bank to debit that account accordingly. The client confirms that the account is held by the client, that the client is authorised to operate it, and that the details supplied are correct.

The client understands and agrees that:

    • The debit order will run monthly on or about the collection date recorded above, or on the next business day where that date falls on a weekend or public holiday.
    • The amount collected will be the agreed monthly fee, or the amount quoted and accepted for a specific assignment, and the practice will give the client written notice of any change to the amount at least 30 days before it takes effect.
    • Where a debit order is returned unpaid for any reason, the client remains liable for the amount due, together with any bank charge or administration fee levied as a result, and the practice may represent the debit order.
    • The client may cancel this mandate at any time by giving written notice to the practice by email at bantubombuso@icloud.com or by WhatsApp to 073 769 6331. Cancellation takes effect on receipt of the notice, and the practice will confirm cancellation in writing and notify its bank. Cancelling the mandate does not cancel the client's obligation to pay fees already due.
    • The client may also ask its own bank to stop the debit order, but remains liable to the practice for any amount already due.
    • The practice will not cede or transfer this mandate to any third party without the client's written consent.
